West Virginia Non-Disclosure Agreement

This Non-Disclosure Agreement (hereinafter referred to as the "Agreement") is entered into on __________ (the "Effective Date"), by and between _____________ (the "Disclosing Party"), located at _________________, and _______________ (the "Receiving Party"), located at ________________. Both parties agree to the following terms and conditions to prevent the unauthorized disclosure of Confidential Information as defined below.

This Agreement is governed by and construed in accordance with the laws of the State of West Virginia, without regard to its conflict of laws principles.

Definition of Confidential Information

For purposes of this Agreement, "Confidential Information" shall include all information or material that has or could have commercial value or other utility in the business in which the Disclosing Party is engaged. Confidential Information also includes all information which is deemed proprietary by the Disclosing Party and communicated to the Receiving Party in any manner.

Obligations of the Receiving Party

  1. Maintain the confidentiality of the Confidential Information.
  2. Refrain from copying or disclosing any Confidential Information to any third party without the written consent of the Disclosing Party.
  3. Use the Confidential Information solely for the purpose for which it was disclosed, as agreed upon by both parties.

Exclusions from Confidential Information

Confidential Information does not include information that:

  • is now or subsequently becomes generally available to the public through no fault of the Receiving Party;
  • the Receiving Party can demonstrate to have had rightfully in its possession prior to disclosure by the Disclosing Party;
  • is independently developed by the Receiving Party without the use of any Confidential Information;
  • is rightfully received from a third party without a duty of confidentiality.

Term

The obligations of this Agreement shall commence on the Effective Date and shall continue indefinitely unless the Agreement is terminated by either party with thirty (30) days prior written notice.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the State of West Virginia. Any disputes arising under or in connection with this Agreement shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association and shall take place in West Virginia.
